The Office of the Nevada SOS - The Place to File Your Corporation

To incorporate in Nevada, you only have to submit all the necessary forms and papers to The Nevada Secretary of State and corporations that you have filed will be processed in 2 hours if you pay the appropriate $ 500 fee. Only select few business people have a real need for such a quick processing of their incorporation request, but it is good to know such possibility exists - just in case.

Besides the 2 hours processing, the Nevada Secretary of State's office also offers 24 hours expedite processing and regular processing.

Web forms are available on the SOS web site in Adobe Acrobat PDF format, or as paper forms upon request. Customer order instructions for each relevant processing have to be followed accordingly, and delivered with all necessary documents to facilitate the processing service. SOS office will not fax orders back, so if the order is not specified as a pick-up, it will be mailed out.

All corporations' trademark and trade name business is handled by SOS Las Vegas office.

The office of the Secretary of State will also issue a Certificate of Good Standing; $50.00 must be enclosed with the letter request mentioning the name of the entity for which the certificate shall be issued.

Corporations registered in Nevada are required by law to file List of Officers, and information about resident agent, to Secretary of State.

To avoid any misunderstandings, there is also a number of services that the Nevada Secretary of State will not provide, namely filing a DBA, which must be done on a county level. Name availability check is only provided against a service fee, or on a business entities search page of SOS's website. Tax information and tax questions are better addressed to IRS for federal tax information and to Nevada Department of Taxation for questions and issues regarding state taxes.
