Every corporation under the Nevada state law must
have a registered agent located in Nevada. Just on
a side note, registered agent might be also required
in all the other states where such company will make
business transactions. Your Nevada corporation
registered agent name and address are publicly
available and either included in the Articles of Incorporation
or attached to it as the registered agent acceptance
form. The acceptance form is often used for do-it-yourself
incorporators.
The main role of registered agent is to receive legal papers and
government notices on behalf of the corporation. All the correspondence
from the Secretary of State and other government agencies, any suits
and tax correspondence go to its address and are forwarded to the
corporation afterwards. You can act as your own registered agent
only if your own registered address is within the state, this option
is hardly available for residents of others states and inaccessible
for non-resident foreign aliens.
The address of the resident agent usually cannot be used as a business
address of a corporation that uses the registered agent services.
Change of agent is possible at any time. Nevada's Secretary of
State maintains a list of registered agents online as a public service.
Over 150 entities are listed there, though the office of the SOS
does not endorse any of them nor cannot guarantee the correctness
of the information provided by resident agents.
When choosing your Nevada's corporations registered agent, make
sure they will do all the paperwork for you, otherwise you will
be left with filing some documents on your own. They should also
keep various documents on hand, Articles of the Incorporation, bylaws
and stock ledger to name a few. Some registered agents will even
provide non-standard services like a physical address and phone
number in Nevada, help with business license to legitimize your
real presence in the state and assist in obtaining a bank account.
