A Nevada corporation application is not overly
complicated to file in case you know exactly what
you are doing, otherwise it is best to use the services
of specialized incorporation service company.
The desired name of the company is best to check
for availability before including on your application,
to avoid any delays coming from possible use of already
existing name or a name similar to an existing one.
There is no minimum capital requirement. Total number
of shares multiplied by par value makes total capital,
and the state filing fee depends on it, starting at
$75 for capital $75,000 or less.
Details for the first director need to be enclosed to the application,
including first and last name, and complete address. The same for
the registered agent, must be a resident of Nevada, most Nevada
corporation registration services also offer the service of registered
agent for a small fee.
Your corporation registration agent will prepare the Articles and
all the paperwork for you and submit to the Secretary of State for
processing. Regular filing takes up to 4 weeks while 24-hour expedite
service is available for urgent needs. $150 surcharge applies for
expedite services.
Once your corporation application is processed and company setup,
you will need to make an application for a tax ID number (EIN),
and send an Initial List of Officers, Initial List of Managers,
Initial List of Directors, and/or Initial List of Members (where
applicable) to the Secretary of State's office together with an
appropriate fee (different fees for different kind of entities).
Often the application for a bank account directly follows the forming
of corporation and most banks will ask for the Initial List to open
a bank account, though there are some that don't. If you want to
save the time needed to file the Initial List, make sure your resident
agent offers filing of Initial List services and use them at the
time of filing for corporation, otherwise it could take up to 2
weeks of processing time.
