A Florida Limited Liability Company is any company that does business within the state of Florida that is a hybrid of a partnership and a corporation. Florida Limited Liability Companies are subject to laws that are a bit more demanding than in some other states. The Articles of Organization for Florida are very, very particular -- they ask for specific details, and they are very strict regarding their penalties for failure to comply to the Articles' structures. Florida will dissolve your company if you don't take heed of the state laws.

Sounds Complex -- But It's Not

There is a lot of paperwork associated with forming any limited liability company -- especially in Florida. However, if you have good legal counsel and quite a lot of patience, it really isn't such a bad process.

For such a company, you need first to have all of your information gathered and organized. This includes your company's name, your federal employer's number if you're moving your LLC to Florida, and the date you first transacted business. With this, you must also submit a certificate bearing your company's name and the street address of the limited liability company's central location in Florida. All of these are to be sent to the Secretary of State for approval, and once the approval goes through, you are welcome to do business in Florida.

The process of setting up a limited liability company in Florida isn't that much different from any other state -- the laws are more specific than in some locations, but they are not difficult to understand. If you have good legal advice for the formation of your company, you should have no difficulty.
